Acceptance of Terms
By accessing or using ChessPrep ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and ChessPrep. We reserve the right to modify these Terms at any time, and your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
Description of Service
ChessPrep is an online platform that provides chess opening training using spaced repetition technology. The Service includes access to chess courses, practice exercises, progress tracking, and related features.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
User Accounts and Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 13 years old to create an account. If you are under 18, you represent that you have permission from a parent or guardian to use the Service.
Use of Service and User Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Share your account credentials with others or allow others to use your account
- Reproduce, distribute, or publicly display content from the Service without permission
- Use automated systems (bots, scrapers) to access the Service
- Attempt to reverse engineer or decompile any part of the Service
- Upload malicious code, viruses, or any harmful content
- Interfere with or disrupt the Service or servers
- Violate any applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Harass, abuse, or harm other users
Subscription and Payments
ChessPrep offers both free and paid subscription plans. For paid plans:
- Subscriptions automatically renew unless cancelled before the renewal date
- You authorize us to charge your payment method for recurring subscription fees
- Prices are subject to change with 30 days notice to active subscribers
- Refunds are provided in accordance with our refund policy (30-day money-back guarantee)
- You are responsible for any taxes applicable to your subscription
You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.
Intellectual Property Rights
The Service and its content, including but not limited to text, graphics, images, logos, chess courses, practice materials, and software, are the property of ChessPrep or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to:
- Copy, modify, or distribute the Service or its content
- Create derivative works based on the Service
- Use the Service for commercial purposes without our permission
- Remove or alter any copyright, trademark, or other proprietary notices
User-Generated Content
If you submit, upload, or share content through the Service (e.g., comments, custom courses), you:
- Retain ownership of your content
- Grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content
- Represent that you have the right to share the content and it doesn't violate any laws or rights
- Understand that we may remove content that violates these Terms
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CHESSPREP DISCLAIMS ALL WARRANTIES, INCLUDING:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of content
We do not guarantee specific results from using the Service. Your chess improvement depends on many factors including practice, dedication, and existing skill level.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CHESSPREP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to or use of our servers
- Interruption or cessation of the Service
- Errors or omissions in content
- Actions of third parties
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to ChessPrep in the 12 months prior to the event giving rise to liability, or $100, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless ChessPrep and its affiliates from any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your User-Generated Content.
Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination:
- Your right to use the Service will immediately cease
- You will lose access to your account and learning data
- Provisions of these Terms that should survive termination will remain in effect
Governing Law and Dispute Resolution
These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except that you may bring small claims in small claims court.
